Terms of Service

These Terms of Service ("Terms") govern your access to and use of Valden. By creating an account or using Valden, you agree to these Terms. If you don't agree, please don't use Valden.

1. What Valden is

Valden is a family continuity platform: it helps you organize and protect important information, preserve memories, and configure who can access what, and when. Valden is not cloud storage, a password manager, estate planning or legal advice, a banking platform, or a social network, and shouldn't be relied on as a substitute for any of those.

2. Your account

• You must be at least 16 years old to create a Valden account.
• You're responsible for keeping your login credentials confidential and for all activity under your account.
• You must provide accurate information and keep it up to date.
• We recommend enabling two-factor authentication for additional protection.
• Notify us immediately at privacy@valdenhq.com if you suspect unauthorized access to your account.

3. Smart Release

Smart Release only acts on the configuration you set: who may receive access, what information they can access, and the inactivity period that triggers a grace period. You are solely responsible for configuring Smart Release accurately and keeping your Circle's contact information current. Valden is not responsible for a release that occurs, or fails to occur, because of settings you configured, contact information that's out of date, or your own inactivity.

4. Subscriptions and payment

• Free, Pro, and Founder plans have different features and limits, described on our Pricing page.
• Pro is billed on a recurring basis (monthly or annual) through Dodo Payments, and renews automatically until canceled.
• Founder is a one-time payment for lifetime access, limited to the first 100 members, and does not renew.
• You can cancel a Pro subscription at any time from Settings > Subscription; cancellation takes effect at the end of the current billing period.
• Fees are non-refundable except where required by law.

5. Referral program

If you refer someone who becomes a paying subscriber, you may earn a reward equal to 10% of their subscription value per month, starting after their first paid month. We may modify or end the referral program, or decline or claw back rewards obtained through fraud or abuse of the program.

6. Acceptable use

You agree not to:

• Use Valden for any unlawful purpose, or to store or transmit content you don't have the right to store or share.
• Attempt to gain unauthorized access to another user's account or data.
• Interfere with, disrupt, or attempt to circumvent the security of Valden.
• Use Valden to harass, defraud, or impersonate another person.
• Reverse engineer or resell Valden without our written permission.

7. Your content

You own the information, messages, and files you store in Valden. You grant us a limited license to store, encrypt, back up, and process that content solely to provide Valden's features to you and the people you've designated. We don't use your Vault, Circle, Legacy, or Emergency Kit content to train AI models or sell it to third parties.

8. Termination

You can delete your account at any time from Settings > Privacy, which starts a 30-day grace period before permanent deletion (see our Privacy Policy). We may suspend or terminate your account if you violate these Terms, with notice where reasonably possible.

9. Disclaimers

Valden is provided "as is." We work hard to keep it reliable and secure, but we don't guarantee it will be uninterrupted, error-free, or that it will meet every need. Valden is not a substitute for professional legal, financial, or medical advice.

10. Limitation of liability

To the maximum extent permitted by law, Valden and its team are not liable for indirect, incidental, or consequential damages arising from your use of Valden, including loss of data, access, or the actions of people you've designated in your Circle.

11. Changes to these Terms

We may update these Terms from time to time. We'll update the "Last updated" date above, and where changes are material, we'll notify you before they take effect.
